Legal assistance in corporate law

Company law

Maître Indy MAUPETIT assists clients throughout the life of their company, from the incorporation stage onwards, recommending the best corporate form to adopt (SAS, SARL, Entreprise individuelle, SA) and drafting bespoke articles of association tailored to the requirements of the founding partners.

He then assists his clients with all corporate formalities, such as drawing up accounts approvals, and carrying out the formalities required to modify the company, such as changes to the articles of association, change of registered office, capital increase or reduction.

He advises clients on bringing in new investors, drafting shareholders’ agreements, and creating preference shares, bonds convertible into shares, or shares without voting rights.

Finally, he assists his clients in setting up corporate groups, including various holding companies and subsidiaries, and determines the most appropriate form for the management envisaged, and for maximum risk reduction.

An initial meeting, either in person or by videoconference, is systematically organized to assess the customer’s needs and constraints, followed by as many interviews as are necessary to bring the project to a successful conclusion.

Fees are assessed according to the difficulty of the case and the time required to process it.

A fee agreement is signed for each case. Any overruns are subject to prior agreement with the customer. An additional agreement must be signed for each new assignment.

Article 11 of the National Internal Rules of the legal profession stipulates that “(…) Fees are the subject of a written agreement which specifies the amount and method of determining the fees relating to foreseeable diligence, as well as the costs and disbursements envisaged. Fees take into account the client’s financial situation, the difficulty of the case, the costs incurred by the attorney, his reputation and the work performed. An additional fee may be charged according to the result obtained or the service rendered. The General Rules of Professional Conduct require the avocat aux conseils to show moderation and delicacy in setting fees, and allow him to demand payment prior to the completion of the work to which they relate (…)”.
